General terms of sale

1 : Object

 These General Sales Conditions shall be applicable between CA France and Purchaser.

By placing an order the Purchaser approves these General Sales Conditions in present and future business relationship between CA France and Purchaser.

2 : Minimum order

Minimum order is 300 € excluding taxes.

Postage paid is from 1200 € excluding taxes for metropolitan France.

 

3 : Prices

Sold items prices are the current ones on the date the order is placed.

Prices are showed in Euros and calculated excluding tax.

Prices offered do not include value added tax and transportation charges. Value added tax shall be added,  when necessary, to the final amount of the invoice on prevailing rate at the date of the invoice.

Transportation charges shall be added to the final amount of the invoice.

CA France reserve the right to revise prices at any time.

However, we are committed to create invoice based on prices from the day the purchasing order is made.  

 

4 : Payment

The payment shall be done :

- by cheque ( France customers only)

- by credit card ( France only )

- by transfer on our bank account

Full payment is required before the goods are dispatched.

 

5 : Late payment

In case of non payment (full or partial) on delivery date of the items, the purchaser has to pay to CA France a late charge equal to one and a half time the legal interest.  The interest rate applicable is the one applicable on delivery day.

This late charge is based on amount due excluding tax and start from due date without any formal demand required.

 

6 : Cancellation clause

If within fifteen days following implementation of late payment procedure, the purchaser has not payed the amount due, the selling will be closed and will confer any rights to claim damages for CA France benefit.

7 : Property reserve

CA France keeps property of goods sold, in principal amount and incidentals, until integral payment is made.

So, if the purchaser is subjected to statutory reorganisation or is liquidated by court order, CA France can decide to uphold the goods sold and unpaid referring to the collective agreement.

8 : Delivery

The delivery is made:

-  by direct delivery to the customer;

-  by sending notice for the customer’s attention that the goods are available in the shop

-  by delivery to the place stated by the Purchaser on the order

Dates quoted for delivery are estimated dates only and cannot be guaranteed.

As a result, delays in delivery do not constitute grounds for termination of the agreement or for the payment of damages to the Buyer.

The customer shall bear the carriage risks in full until delivery.

In case of missing or damaged goods during transportation, the Buyer must make the necessary notifications on the delivery of the goods upon reception.

These notifications shall be confirmed by writing within five days after delivery by registered mail with recorded delivery.

For handmade creations, we cannot guarantee accurate follow-up for the shapes, sizes and colours. 

 

9 : Case of absolute necessity

CA France responsibility cannot be engaged for non-execution or delay for the execution of one of the above obligations if it’s a case of absolute necessity.

The case of absolute necessity is an external event, unpredictable and irresistible (reference art. 1148 Code Civil).

 

10 : Competent court

Any dispute relating to the interpretation and the execution of these general conditions of sale is subjected to the French right.

If the dispute cannot be resolved out of court, it will be referred to the Commercial Court (Tribunal de Commerce) of MONTPELLIER ( Hérault).
